Cannabis Research Projects Vision
The Federal Office for Agriculture and Food (BLE) will become the responsible authority for reviewing research applications in the field of consumer cannabis and industrial hemp, as well as overseeing research projects. This is stipulated by a regulation signed on Tuesday by the Federal Minister of Food and Agriculture, Cem Özdemir. Scientific institutions and companies will be able to submit applications for corresponding projects to the BLE once the regulation is published in the Federal Law Gazette.

Objective of a Stock Exchange Listing
The main goal of a stock exchange listing is to allow existing shareholders of the issuing company to sell their shares and realize a capital gain. The listing provides shareholders with an exit strategy. Unlike an IPO, the company itself does not raise funds during the listing.
Raising Capital Through a Stock Exchange Listing
The company does not raise capital directly through the listing. Instead, fundraising occurs in the months or years prior to the listing. The company can sell shares to investors through Private Placements, offering them the prospect of a future stock market listing.
Step-by-Step Process of a Stock Exchange Listing
Each stock exchange has its specific requirements, but the general process follows these steps:
1. Valuation of the Operating Company or Business Plan
If you operate a revenue-generating company with a business plan, you need a valuation by a local auditor—preferably through a DCF (Discounted Cash Flow) valuation. However, a comprehensive valuation report following the German model is not required.
2. Establishing a List-Holding Structure
To mitigate risks (liabilities, etc.), the operating company itself is not listed. Instead, a List-Holding is established, such as a UK PLC. The operating company is then transferred into this holding via a capital increase through a non-cash contribution (Share Swap), making it a subsidiary of the holding company.
3. Applying for an ISIN
An International Securities Identification Number (ISIN) is applied for the holding company.
4. Securitization of Shares in the List-Holding
The existing shares of the holding company are converted into electronic shares and transferred to shareholders' brokerage accounts. This process is called securitization or dematerialization.
5. Raising Capital Through Private Placements
The company starts raising funds through Private Placements, where each private sale triggers a capital increase in the List-Holding. The new investors receive their shares electronically in their brokerage accounts.

6. Hiring a Listing Partner

7. Stock Exchange Approval
